EULA Statement

Effective Date: December 4, 2025

This End User License Agreement (“EULA”) establishes the terms under which CASK Software BV (“CASK”) grants usage rights to the LICENSEE for its proprietary software, products, and services.

By using the software, the LICENSEE accepts and agrees to comply with all terms outlined in this agreement.

1. Scope of License

1.1 Grant of License: CASK grants the LICENSEE a non-exclusive, non-transferable, subscription-based license to use its software, products, and services under the terms of this EULA.

1.2 License Eligibility: The license is linked to the LICENSEE’s email address and is granted to employees of registered organizations or businesses that are CASK clients.

1.3 Subscription-Based Licensing: The license is provided on a subscription basis, automatically renewed annually, unless otherwise agreed in writing.

1.4 Authorized Use:

  • The software is accessible online and restricted to authorized users within the LICENSEE’s organization.

  • Access is limited to the number of “floating seats” specified in the subscription plan. For additional users or seats, LICENSEE must contact CASK via casksoftware.com.

2. Software Usage and Data Handling

2.1 Usage Guidelines: The software must be used according to its intended purpose as outlined in the documentation and on CASK’s website.

2.2 Data Processing:

  • CASK processes input and output data solely for calculation purposes during software operation.

  • This data is temporary and is either automatically removed after calculations or can be deleted by the LICENSEE.

  • Customer data: CASK does not retain customer data beyond the software’s immediate operational needs.

2.3 Proprietary Software:

  • CAISSON_VHM: Software for offshore caisson foundation resistance calculations.

  • SPUDPEN: Software for jack-up rig leg penetration analysis.

3. Intellectual Property Rights

3.1 All intellectual property rights: in the software, tools, and associated documentation remain exclusively with CASK.

3.2 LICENSEE shall not:

  • Modify, alter, or enhance the software.

  • Reverse engineer, decompile, or disassemble the software.

  • Distribute, sublicense, or provide access to the software to any third parties.

4. Data Protection and Privacy

4.1 Data Security: CASK implements advanced security measures, including certified protocols and security layers (SSL, Encryption, HASP keys) to protect LICENSEE’s personal and organizational data. CASK’s servers are located in The Netherlands. Contact CASK for additional details.

4.2 Privacy Assurance:

  • LICENSEE registration requires minimal data collection (email addresses, system identifiers, and usage statistics) solely for licensing and support purposes.

5. Support, Guidance and Maintenance

5.1 Active Assistance: CASK provides support for importing values, navigating the software, and understanding its functionality.

5.2 Comprehensive Guidance on Support:

  • Setting up input files.

  • Configuring software settings.

  • Applying best practices.

  • Ensuring smooth and efficient software use from start to finish.

5.3 Scope of Support: This service excludes consultancy and project-specific reporting. For these services, LICENSEE should engage with CASK’s accredited partners.

5.4 Additional Assistance: Support includes online manuals, how-to guides, and step-by-step scenarios to help LICENSEE maximize the software’s potential.

5.5 Paid Premium Support: LICENSEE may request extended support, custom features, or training sessions. Visit casksoftware.com for details.

5.6 Free: Technical support includes software maintenance, bug fixes, error corrections, and fault resolutions during the subscription period.

5.7 Updates and upgrades: All current modules receive updates, including code revisions, at no additional cost during the subscription period.

5.8 Timeframe: Updates will be available within these periods after release:

  • Minor updates: within 1 month

  • Major updates: within 4 months

  • Unless specified otherwise

5.9 Technical details: Each update includes relevant technical details on use and applications.

6. Updates and Compatibility

6.1 Update Policy: CASK provides periodic updates to fix errors, enhance performance, and add new features. LICENSEE will receive update notifications.

6.2 Installation and Consent: Updates require an active internet connection as CASK’s software is cloud-based. LICENSEE needs only to consent to data processing by CASK’s cloud software.

6.3 Compatibility Responsibility: LICENSEE must ensure their systems and input files remain compatible with updated software versions.

6.4 Update Conditions: Updates may introduce new terms or conditions, announced in advance. Installing updates indicates acceptance of updated terms.

7. Confidentiality and Copyright

7.1 LICENSEE agrees to treat: all software, documentation, and associated materials as CASK’s confidential and proprietary information.

7.2 Unauthorised actions: including reverse engineering, modification, or distribution will incur immediate penalties, with fines starting at EUR 150.000.

7.3 LICENSEE must attribute: CASK for results derived from the software as: “The original program was developed by S. Kay Consultant” or “Created by CASK Software”

8. Licensing Terms

8.1 Duration: The license is valid for one year from subscription payment and renews automatically unless canceled by the LICENSEE at least one month before expiration.

8.2 Termination: Upon termination or non-renewal, LICENSEE must delete all software copies and backups.

8.3 License Fees and VAT:

  • Current fees are available upon request.

  • CASK charges VAT for Belgian customers. Non-Belgian customers must self-report VAT using their TAX/VAT-ID.

9. Liability and Disclaimer

9.1 CASK ensures: the software operates as described but cannot guarantee perfect integration with third-party systems.

9.2 CASK is not liable for:

  • Damages from LICENSEE’s failure to install updates.

  • Errors or imperfections in software results.

  • Force majeure events or system incompatibility issues.

9.3 Disclaimer: CASK accepts no liability for engineering decisions based on software outputs.

10. Governing Law and Disputes

10.1 Governing law: This EULA is governed by Belgian law.

10.2 Disputes: will be resolved by the competent court in CASK’s district of establishment.

10.3 Invalid provisions: do not affect the remaining terms’ enforceability. Invalid clauses will be replaced with legally permissible equivalents.
